Newrich is a platform designed to help people monetize their skills, ideas, and communities while exploring opportunities across the internet. Our goal is to help creators and entrepreneurs build sustainable online income. We understand that legal terms aren’t always the most exciting thing to read, so we’ve done our best to keep these Terms clear and straightforward.

These Terms of Service (“Terms”) govern your use of Newrich and all related services, including our websites, mobile applications (iOS and Android), APIs, embeds, and other tools or features we provide (collectively referred to as the “Newrich Platform” or the “Service”).

By accessing or using Newrich, you agree to these Terms as well as our Privacy Policy, Community Guidelines, and any other policies or rules that we publish on the platform.

Throughout these Terms, the words “we,” “us,” and “our” refer to NRL Media, Inc - d/b/a Newrich


IMPORTANT NOTICE:

Please read these Terms carefully, as they affect your legal rights. In particular, certain disputes between you and Newrich may be resolved through mandatory binding arbitration, rather than through court proceedings, jury trials, or class actions (except as otherwise stated in Section 15).

1. What is Newrich?

Newrich provides a platform and tools designed to help individuals start, launch, and grow online businesses. Through the platform, users can buy and sell digital products and services (referred to as “Products”):

  1. Marketplace Sales: Products can be sold directly on the Newrich marketplace, where customers (“Buyers“) purchase Products offered by creators or merchants (“Sellers“).

All Products available through the Service are created and provided solely by Sellers. Newrich provides the platform and supporting tools but does not create, control, or take responsibility for the Products offered through the Service.

Newrich is not a financial institution. Payment processing and financial services are provided by third-party payment processors and their affiliated banking partners (collectively referred to as “Financial Partners”). These Financial Partners hold and manage funds for the benefit of Newrich users in accordance with their own regulatory and operational requirements.

2. Eligibility

To use Newrich, you must be at least 13 years old or the minimum age required to use online services in your jurisdiction.

If you are between the ages of 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and will supervise your use of the platform.

If you are using Newrich on behalf of a company, organization, or other legal entity, the individual accepting these Terms represents and warrants that they have the authority to bind that entity to these Terms. In such cases, references to “you” or “your” in these Terms apply to both the individual using the Service and the organization they represent.

By accessing or using Newrich, you also confirm that you are not restricted from using services based in the United States under applicable sanctions, export control laws, or other legal restrictions. This includes confirming that you are not located in a country subject to U.S. trade embargoes and are not listed on any U.S. government list of prohibited or restricted parties.

3. Accounts and Registration

Account Registration

To use certain features of Newrich, you must create an account and provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

If you believe your account has been compromised or accessed without authorization, you must notify us immediately at support@newrich.com.

Linked Accounts and Ownership

If you connect external payment accounts (“Linked Accounts”) to your Newrich account, you represent and warrant that you are the lawful owner of those accounts and have the authority to link them to the Service.

The owner of the first Linked Account connected to your account with an active payment method will generally be treated as the primary owner of the revenue associated with that account. Only the owner of the Linked Account may request modifications, removal, or changes to that payment connection.

Newrich does not mediate disputes related to account ownership, payment accounts, or revenue distribution. By linking a payment account or using Newrich payment features, you agree to comply with the terms, conditions, and acceptable use policies of our third-party payment providers.

If a Financial Partner determines that your account violates their policies, they may suspend payouts or restrict your access to payment services.

Account Verification Requirements

In order to access payment services on Newrich, including receiving payouts from transactions processed through the platform, you must complete all required identity verification and compliance checks. These checks may be conducted by our Financial Partners or by third-party identity verification providers and may include Know Your Customer (KYC) requirements.

If you fail to complete these verification steps, or if a Financial Partner later revokes approval of your account, you may lose access to payout services and your account may be suspended or terminated.

4. Your Privacy

Information about how we collect, use, disclose, and otherwise process personal information is described in our Privacy Policy.

By accessing or using the Newrich Services, you acknowledge and agree that your personal information may be collected and processed in accordance with the terms outlined in the Privacy Policy.

5. Your Use of the Service

Use of Newrich

Subject to your compliance with these Terms, you are permitted to access and use the Newrich Services.

Community Guidelines

To help maintain a safe and respectful platform, we maintain Community Guidelines that outline acceptable behavior and prohibited conduct on the Service. You can read these guidelines here. These guidelines are incorporated into and form part of these Terms. If you violate the Community Guidelines, it will be considered a violation of these Terms and may result in suspension or termination of your account.

Youth Safety Policy

At Newrich, we aim to create opportunities for people—including younger users—to participate in the online economy. Because our community includes users of different ages, we maintain additional safeguards for users under the age of 18. These protections are described in our Youth Safety Policy, which explains how we promote a secure and responsible environment for younger users.

Prohibited Uses

When using the Service, you must comply with these Terms, our Community Guidelines, and all applicable laws. The examples below describe certain prohibited activities, but they are not exhaustive. Additional restrictions may be described in our Community Guidelines.

You may not access or use the Service, or assist others in accessing or using the Service, in any of the following ways:

Illegal Activity.

You may not use the Service for any unlawful purpose or in violation of any applicable law or regulation.

Harmful Conduct Toward Others.

You may not harass, threaten, bully, or otherwise harm other users. This includes accessing another user’s account without authorization, collecting personal information without consent, sending unsolicited advertisements or promotions, or posting content or offering products that are abusive, threatening, hateful, explicit, or otherwise inappropriate.

Interference with the Platform.

You may not interfere with or disrupt the operation of the Service. This includes introducing malicious software such as viruses or spyware, interfering with servers or networks that support the Service, attempting to bypass security features, reverse engineering the platform (except where permitted by law), or using automated tools such as bots, scrapers, or spiders to access or collect data without our written permission.

Intellectual Property Violations.

You may not infringe, misappropriate, or otherwise violate the intellectual property or proprietary rights of any person or entity.

Fraudulent or Deceptive Conduct.

You may not engage in fraudulent, misleading, or deceptive behavior. This includes impersonating another person or organization, falsely claiming affiliation with someone else, transferring or selling account access without permission, engaging in fraudulent payment practices or abusive chargebacks, misrepresenting products or services, submitting fake reviews, manipulating engagement or sales metrics, or making deceptive earnings claims.

Misuse of the Service.

You may not reproduce, duplicate, sell, resell, or exploit any part of the Service without our prior written permission. The Service may also not be used for peer-to-peer money transfers unrelated to legitimate product or service transactions.

Software

Some features of the Service may require you to download software, such as mobile applications. These applications may update automatically to ensure you are using the most current version. Any open-source components included in our software remain subject to their respective open-source licenses.

Third-Party Services

The Service may integrate with third-party software, services, or applications that are not developed or controlled by us. This may include applications created by independent developers or other external services that connect with Newrich. These third-party offerings are governed by their own terms and privacy policies. We are not responsible for their functionality, content, or performance. Your use of any third-party services is at your own risk.

6. Services and Offerings

Newrich provides several ways for users to buy, sell, earn, and participate in the community. The following sections explain how our primary features work and where additional terms may apply.

Fees

Creating and using a Newrich account is generally free. However, certain transactions or services may involve fees as described in our Buyer Terms and Seller Terms. We may update our fee structure from time to time by revising those terms.

Buying Products

You may use Newrich to purchase products or services offered by Sellers on the platform or through Newrich Payments. Buyers are responsible for reviewing product descriptions, pricing, and terms before completing a purchase. Your rights and responsibilities as a Buyer, including applicable fees, are described in the Buyer Terms, which are incorporated into these Terms of Service.

Selling Products

Newrich allows users to sell products and services through the platform and through Newrich Payments. Sellers must ensure that they have the legal right to offer the products they list and that all listings accurately describe what is being sold. Seller responsibilities, policies, and fees are outlined in the Seller Terms and the Prohibited Products Policy, both of which are incorporated into these Terms.

Earning Through the Platform

Newrich may offer programs that allow users to earn income by participating in the ecosystem. These may include affiliate programs, bounty programs, or similar initiatives. Participation in these opportunities is governed by our Earnings Terms, which explain eligibility requirements, payment structures, and program rules.

7. Balance

When you complete transactions through Newrich, you may receive funds that are reflected in your Newrich Balance.

Your Newrich Balance represents funds held for your benefit by our Financial Partners. These funds may be held with partner financial institutions in the United States or other jurisdictions depending on where services are provided. You may use your Newrich Balance to purchase products or services available through the platform, or you may request a withdrawal of those funds to a connected bank account. Your Newrich Balance may not be transferred to other individuals, used as a gift balance, or applied to purposes other than those permitted under these Terms.

We may instruct our Financial Partners to deduct funds from your Newrich Balance for purchases you authorize, along with any applicable service fees. If you are a Seller, funds may also be deducted to cover penalties, fees, refunds, chargebacks, or other obligations related to violations of these Terms or requirements imposed by our Financial Partners or applicable law. Additional details regarding these deductions can be found in the Seller Terms. Funds held in your Newrich Balance are not insured by the FDIC.

You are responsible for reviewing your transaction history on the platform and promptly reporting any unauthorized or incorrect transactions. If you believe an error has occurred, you must notify Newrich immediately. We may decline to correct errors that occurred more than seven (7) days before we receive notice of the issue.

We reserve the right to correct errors, adjust balances, or reverse transactions when necessary, including when required to address system errors or to ensure accurate account records. In addition, we may disclose account information to law enforcement authorities or other third parties when required by law.

8. User Content

User Content Generally

Certain features of Newrich allow users to upload, publish, or otherwise submit content through the Service. This may include items such as product images, descriptions, reviews, videos, livestreams, and other materials (collectively, “User Content”).

You retain any copyright or ownership rights you have in the User Content you submit to the Service, subject to the licenses granted under these Terms.

Unless otherwise agreed, you have the right to remove all or any portion of your User Content from the Services at any time. Except where otherwise agreed, Newrich’s right to sublicense the permissions described in this section will terminate with respect to new users thirty (30) days after the User Content has been removed. However:

Any rights previously granted to users before the User Content was removed will continue in accordance with the terms of those licenses (including any lifetime access that may have been granted).

Newrich’s right to use the User Content for marketing and promotional purposes will survive the removal of the content.

Newrich may also record and use all or any portion of your User Content for quality assurance purposes and for the purposes of delivering, promoting, demonstrating, marketing, or operating the Services. You grant Newrich permission to use your name, likeness, voice, and image in connection with providing, promoting, marketing, demonstrating, or selling the Services, your User Content, or other Newrich content. To the extent permitted by applicable law, you waive any rights of privacy, publicity, or similar rights related to such use.

License Granted to Us

Although you continue to own your content, you grant Newrich certain permissions so we can operate and provide the Service. By posting or making User Content available through the platform, you grant Newrich a royalty-free, non-exclusive, worldwide, sublicensable license to use, host, copy, store, reproduce, display, perform, transmit, distribute, and adapt that content. This license applies across any media or distribution channels now existing or developed in the future.

These permissions allow us to operate the platform and its features, including hosting your content, enabling product listings and sales, promoting offerings, and supporting community functionality.

Your Responsibilities

You are responsible for ensuring that you have all necessary rights, licenses, or permissions required to post your content on Newrich. You agree not to upload or publish any content that:

  • Violates the intellectual property or proprietary rights of others
  • Contains unlawful, abusive, harassing, threatening, hateful, obscene, or otherwise inappropriate material
  • Violates applicable laws or regulations

You also represent that your content is truthful and accurate to the best of your knowledge. Newrich is not responsible for User Content posted by users, and you are solely responsible for the content you submit and any consequences that result from it.

User Content Disclaimer

Newrich does not actively review or control all User Content submitted to the platform and is not responsible for it. However, we reserve the right to remove, edit, restrict, or disable access to User Content at any time if we believe it violates our Community Guidelines, our policies, the rights of others, or is otherwise objectionable.

You acknowledge that User Content displayed on the platform may be inaccurate, offensive, or objectionable. To the fullest extent permitted by law, you waive any claims against Newrich arising from User Content posted by other users. Our decision to remove or retain any content does not constitute an endorsement of that content.

In appropriate circumstances, Newrich may suspend or terminate accounts belonging to users who repeatedly infringe the intellectual property rights of others.

Monitoring Content

Although we do not routinely monitor all User Content or user activity, we reserve the right to review or monitor information transmitted through the Service when necessary for operational, security, or compliance purposes. Any information monitored may be examined, recorded, copied, or used in accordance with our Privacy Policy.

We may also block, filter, remove, or disable access to User Content at our discretion and without liability. If you believe content on the platform violates these Terms or our policies, you may report it through the appropriate reporting channels.

9. Communications

Electronic Communications

By using the Newrich Service, you consent to receiving communications from us electronically, including emails, system notifications, and other messages, as described in our Privacy Policy. You acknowledge that notices, agreements, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

Even if you choose to opt out of marketing messages, we may still send you important service-related communications, such as receipts, security alerts, policy updates, or account notifications, as these are necessary for operating the Service.

You are responsible for ensuring that your email address and contact information remain accurate and up to date in your account settings so we can contact you when necessary.

Push Notifications

If you install the Newrich mobile application, you may receive push notifications, which are messages sent to your mobile device even when you are not actively using the app. You can disable push notifications at any time through the settings on your mobile device.

Email Communications

We may send emails about our services, platform updates, promotions, or offers that may include information about third-party products or services. If you no longer wish to receive promotional emails, you may unsubscribe by following the instructions included in the email message.

10. Termination

Account Deletion

You may permanently delete your Newrich account at any time by following the instructions provided within the platform or clicking here.

Account Suspension or Termination

We reserve the right to suspend or terminate your Newrich account, including any related accounts, at any time and at our sole discretion. This may occur if you violate these Terms, any Newrich policy, or for other operational, legal, or security reasons.

If your account is suspended or terminated and you believe the action was taken in error, you may contact us at support@newrich.com to request a review. We may review such requests at our discretion but are not obligated to reinstate any account.

We are not liable to you or to any third party for actions taken under this section, including terminating another user’s account or removing content. You agree not to bring claims against Newrich related to the suspension or termination of another user’s account or the removal of content with which you may have interacted.

When your account is deleted or access to the Service is terminated, we reserve the right to remove or delete any User Content or data associated with your account.

Effects of Account Termination

If your account is terminated by Newrich:

Loss of Access

You will no longer have access to your account or to the Service.

Outstanding Financial Obligations

You remain responsible for any fees, charges, or financial obligations incurred prior to termination. We may deduct these amounts from your Newrich Balance or invoice you for the remaining amount.

Loss of Product Access

You may lose access to products, services, or memberships managed through the platform.

Loss of User Content Access

You may also lose access to any content you uploaded or submitted through the Service. You are responsible for maintaining copies of your content.

Survival of Terms

Certain provisions of these Terms will continue to apply after your account is terminated. These include, but are not limited to:

  • Section 17 (General Terms)
  • Section 15 (Disputes and Arbitration)
  • Section 14 (Limitation of Liability)
  • Section 13 (Indemnification)
  • Section 12 (Disclaimer of Warranties)
  • Section 11 (Ownership of the Service)
  • Section 10 (Termination)

Any payment obligations owed to Newrich, our Financial Partners, Sellers, or Buyers will also survive termination.

If your account was terminated due to a violation of these Terms, you may not create a new account using a different name, email address, or other identifying information.


Account Balance After Termination

When an account is terminated, we may take certain actions to ensure that all obligations are resolved and funds are handled appropriately.

Offsets and Refunds

We may first apply any funds in your account to cover chargebacks, refunds, fines, fees, damages, or other obligations owed to Newrich or our Financial Partners. We may also refund buyers who purchased products or services that were not delivered due to the account termination.

Fraud or Illegal Activity

If we reasonably believe that funds in your account are connected to fraud, illegal conduct, or unauthorized activity, we or our Financial Partners may withhold those funds and cooperate with law enforcement or regulatory authorities as required by law. We will not be liable for any claims resulting from good-faith decisions to withhold or release funds under these circumstances.

Forfeiture and Unclaimed Property

After resolving any applicable offsets or refunds, remaining funds held by our Financial Partners may be treated in accordance with their policies regarding unclaimed or abandoned property, including applicable state escheatment laws. You authorize us to take any actions necessary to assist our Financial Partners in complying with these legal requirements.

No Liability

To the fullest extent permitted by law, Newrich will not be liable to you or any third party for losses, claims, or damages arising from actions taken under this section, including decisions to offset, refund, withhold, transfer, or escheat funds.

11. Ownership of the Service

The Newrich Service is owned, operated, and made available by us and our affiliates, licensors, partners, distributors, and service providers (collectively, the “Providers”). We and our Providers retain all rights, title, and interest in and to the Service, including all associated intellectual property rights, excluding any Products offered by Sellers.

Except for the limited rights to access and use the Service that are expressly granted under these Terms, nothing in these Terms transfers or grants any ownership rights in the Service to you. All rights not expressly granted remain reserved by Newrich and its Providers.

The Newrich name, logos, branding, and all related product or service names are trademarks or service marks of Newrich, Inc. or its licensors. You may not use these marks without our prior written permission.

We reserve the right to modify, update, suspend, remove, or discontinue any part of the Service at any time, either temporarily or permanently. While we may attempt to notify users of significant changes, we cannot guarantee advance notice in every case. Newrich will not be liable for modifications to the Service, including changes to paid features, or for any suspension or termination of access.

You are responsible for maintaining copies of any content you upload or publish through the Service, as changes to the platform may affect your ability to access previously posted content.

Feedback

We welcome suggestions, comments, and other feedback regarding the Service. By submitting feedback to Newrich, you agree that we may use, implement, and incorporate that feedback into our products or services without restriction and without any obligation to compensate you.

12. Disclaimer of Warranties

The Newrich Service, including all related materials, content, and features, is provided on an “as is” and “as available” basis without any warranties of any kind, whether express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Service will operate continuously, securely, or without errors, nor do we guarantee that it will be free from viruses, malicious code, or other harmful components. We also do not guarantee that any defects, interruptions, or technical issues will be corrected.

All Products available through the platform are provided solely by Sellers. Newrich only provides the platform that facilitates transactions between Buyers and Sellers. As a result, Newrich is not responsible for the quality, functionality, safety, legality, or performance of any Product, nor for disputes between Buyers and Sellers. Any claims relating to a Product must be resolved directly between the Buyer and the applicable Seller.

Your use of the Service is entirely at your own risk. This includes risks related to damage to devices, loss of data, financial losses, or issues arising from interactions with other users. Newrich is not responsible for such risks or outcomes.

No advice or information—whether oral or written—provided by Newrich or through the Service creates any warranty that is not expressly stated in these Terms.

Note: Some jurisdictions provide certain statutory rights or warranties that cannot be excluded under applicable law (for example, guarantees that services meet certain quality standards). Nothing in these Terms is intended to limit or override those rights where they apply. Except where such rights are legally required, the Service is provided without warranties to the fullest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Newrich, its affiliates, and their respective shareholders, directors, managers, members, officers, employees, consultants, and agents (collectively, the “Newrich Entities”) from and against any third-party claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use or misuse of the Service, including any unauthorized use
  • Your violation of these Terms or any applicable law or regulation
  • Your infringement or violation of the rights of a third party, including intellectual property or privacy rights
  • Any dispute involving a Product, including disputes between Buyers and Sellers
  • Any dispute between you and another user of the Service

We reserve the right to assume exclusive control and defense of any matter subject to indemnification under this section, at our own expense. If we choose to do so, you agree to cooperate with our defense. Your indemnification obligations will still apply, meaning you remain responsible for reimbursing us for any losses, costs, or damages covered under this section.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Newrich and its affiliates, officers, directors, employees, agents, and partners (collectively, the “Newrich Entities”) will not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, damages for lost profits, lost data, loss of goodwill, or other intangible losses arising out of or related to your use of, or inability to use, the Service.

This limitation applies regardless of the legal theory involved, including claims based on contract, warranty, tort (including negligence), strict liability, or otherwise, even if Newrich has been advised of the possibility of such damages.

To the maximum extent permitted by law, the total liability of the Newrich Entities for all claims arising out of or related to these Terms or the Service will not exceed the greater of:

  • (a) the total amount you paid to Newrich during the twelve (12) months preceding the event giving rise to the claim; or
  • (b) $100 USD.

Any claim or cause of action arising out of or related to these Terms or the Service must be brought within one (1) year from the date the claim arises. If a claim is not filed within that time period, it will be permanently barred.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY.

By agreeing to these Terms, you and Newrich agree to resolve certain disputes through binding arbitration and waive the right to bring or participate in class actions, except where specifically stated below.

Contacting Support First

If you have questions or concerns regarding the Service, you may contact our support team at support@newrich.com. Many issues can be resolved quickly through our support process without the need for formal legal action.

Informal Dispute Resolution

Before either party begins formal legal proceedings, both you and Newrich agree to attempt to resolve the dispute informally.

To initiate this process, you must send a written notice to support@newrich.com that includes:

  1. The resolution you are requesting
  2. A detailed description of the issue
  3. The email address associated with your account
  4. Your name

We will contact you using the email address associated with your account. Either party may also request an individual settlement conference during this period.

If the dispute cannot be resolved within sixty (60) days after notice is provided, either party may begin arbitration proceedings. Any applicable statute of limitations will be paused during this informal resolution period.

Mandatory Arbitration

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Newrich Services (a “Dispute”) will be resolved through final and binding arbitration, rather than in court.

This arbitration agreement applies regardless of when the claim arose, including disputes that existed before these Terms were accepted.

You may opt out of arbitration within thirty (30) days of creating your account by sending written notice to:

If you opt out of a future update to this arbitration agreement, the most recent version you previously agreed to will remain in effect.

For disputes involving claims under $10,000, Newrich will pay the arbitration filing and arbitrator fees unless the arbitrator determines the claim is frivolous. In other cases, fees will be allocated according to the applicable arbitration rules, and each party will generally bear its own legal fees unless otherwise required by law.


Arbitration Provider and Governing Law

If informal resolution fails, arbitration will be conducted by National Arbitration and Mediation (“NAM”) under its Comprehensive Dispute Resolution Rules and Procedures and, where applicable, its rules governing mass arbitration filings.

These rules are available through NAM.

Because the activities described in these Terms involve interstate commerce, the Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration agreement.

NAM may adjust administrative or arbitration fees if it determines that doing so is appropriate, provided such adjustments do not increase your costs. Any challenge to NAM’s fees will not be considered a breach of this arbitration agreement, and deadlines for payment of fees will be paused while such challenges are pending.

Arbitration Procedures

Arbitration hearings will generally be conducted by videoconference unless the arbitrator determines an in-person hearing is necessary.

If an in-person hearing is required:

  • For users located in the United States, the hearing will occur in the county of your primary residence, or the nearest available arbitration location if none exists there.
  • For users located outside the United States, hearings may be held in Sussex County, Delaware where legally permitted.

The arbitration will be conducted by a single arbitrator, who will be either a retired judge or an attorney licensed to practice law in Delaware.

The arbitrator will have authority to resolve the dispute and may grant dispositive motions where appropriate.

Unless prohibited by applicable law, the arbitrator will apply the laws of the State of California, without regard to conflict-of-law principles.

Courts located in Sussex County, Delaware retain authority to determine issues relating to the validity or enforceability of the class action waiver or requests for public injunctive relief.

Class Action and Jury Trial Waiver

You and Newrich agree that all disputes must be brought on an individual basis only.

You may not bring claims as part of:

  • A class action
  • A consolidated proceeding
  • A representative action

The arbitrator may grant relief only to the individual party bringing the claim and may not award relief affecting other users, except as described in the batch arbitration provision below.

BOTH PARTIES ALSO WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTES ARISING UNDER THESE TERMS TO THE FULLEST EXTENT PERMITTED BY LAW.

Arbitration means that disputes will be resolved by an arbitrator rather than a judge or jury, and discovery and appeal rights may be more limited than in court proceedings.

Batch Arbitration

If 25 or more similar arbitration claims are filed by the same or coordinated legal counsel within a 90-day period, those claims may be grouped into batches of up to 50 claimants each.

Each batch will generally proceed with:

  • One arbitrator
  • One hearing per batch

NAM will administer such proceedings according to its Mass Filing Rules.

NAM may adjust batch sizes, transfer cases between batches, or allow multiple batches to proceed simultaneously where necessary for efficient resolution. Any disagreements regarding batching procedures will be resolved by a NAM procedural arbitrator.

Severability

If any portion of this arbitration section is found to be invalid or unenforceable, the remainder will remain in effect. However, if the invalid provision would allow class arbitration or representative claims, then this entire arbitration section will be considered unenforceable.

Exceptions

Either party may pursue claims in the following circumstances:

  • In small claims court, if the claim qualifies for that court’s jurisdiction
  • In court for injunctive or equitable relief to prevent unauthorized use of intellectual property or misuse of the Service

Except for these limited circumstances, all other disputes will be resolved through the arbitration process described above.

16. Copyright Complaints

Newrich respects the intellectual property rights of others and expects users of the platform to do the same. We respond to properly submitted claims of copyright infringement that are reported to our designated copyright agent.

Upon receiving a valid complaint, we will review the report and take appropriate action, which may include removing or disabling access to the content in question. We may also notify the user who posted the content so they have the opportunity to submit a counter-notification where permitted by law.

If we receive a valid counter-notification, we may restore the content unless the original complainant informs us that they have filed a legal action seeking a court order to prevent the alleged infringement. We may also share copies of copyright notices with relevant parties when necessary.

If you are submitting a copyright notice under the Digital Millennium Copyright Act (DMCA), please refer to 17 U.S.C. § 512(c)(3) for the required elements of a proper notification. Please note that knowingly submitting a false claim of infringement may result in liability for damages, including costs and attorneys’ fees.

In accordance with the DMCA and other applicable laws, Newrich may suspend or terminate accounts belonging to users who are found to be repeat infringers of intellectual property rights.

17. General Terms

Changes to These Terms

We may modify or update these Terms from time to time. If we do, we will post the updated version on our website or otherwise notify you of the changes. By continuing to use the Newrich Services after the updated Terms become effective, you agree to the revised Terms. If you do not agree with the updated Terms, you must discontinue your use of the Service.

Additional Terms

Your use of the Service may also be subject to additional policies, guidelines, or rules that apply to specific features or services (the “Additional Terms”). Certain Products or platform features may also require acceptance of Additional Terms. All Additional Terms are incorporated into these Terms by reference. If there is a conflict between these Terms and any Additional Terms, the Additional Terms will control with respect to the relevant feature or Product.

Entire Agreement

These Terms, together with any Additional Terms and policies incorporated by reference, constitute the entire agreement between you and Newrich regarding your use of the Service. They replace and supersede any prior agreements or understandings—whether written or oral—relating to the same subject matter. Any prior versions of terms of service are hereby revoked.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain fully enforceable.

No Waiver

Our failure or delay in enforcing any provision of these Terms will not be considered a waiver of our right to enforce that provision or any other provision in the future.

Assignment

You may not transfer or assign these Terms without our prior written consent. However, Newrich may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Except where otherwise provided in the dispute resolution section above, any claims arising out of or related to these Terms or the Service must be brought exclusively in the state or federal courts located in Sussex County, Delaware.

Users who access the Service from outside the United States do so on their own initiative and are responsible for complying with all applicable local laws.

Export Compliance

You agree to comply with all applicable U.S. and international export control and sanctions laws when using the Service. You represent and warrant that you are not listed on any government restricted-party list and are not accessing or using the Service from a country subject to applicable U.S. trade sanctions or embargoes.

No Third-Party Beneficiaries

Except where explicitly stated in Section 18 (Apple), these Terms do not grant any rights or remedies to any third party.

Newrich is not obligated to provide customer support for the Service. If support is provided, it will be governed by any applicable policies we publish.

Newrich may allow you to access certain information or data related to your use of the Service through platform functionality. However, such access is provided at our sole discretion. We are not obligated to provide any data export, download capability, or long-term retention of such information.

18. Additional Notices and Terms

Notice Regarding Apple

This section applies only if you access or use the Newrich mobile application on an iOS device.

You acknowledge that these Terms are an agreement between you and Newrich only, and not with Apple Inc. (“Apple”). Apple is not responsible for the Newrich Service or for any content made available through the Service.

Apple has no obligation to provide maintenance or support services for the Newrich mobile application. If the application fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if any) paid for the application. To the maximum extent permitted by law, Apple has no further warranty obligations relating to the Service.

Apple is not responsible for addressing any claims made by you or any third party relating to the Service, including but not limited to:

  • Product liability claims
  • Claims that the Service fails to comply with applicable legal or regulatory requirements
  • Claims arising under consumer protection or similar laws

Apple is also not responsible for investigating, defending, settling, or resolving any third-party claim that the Service or your use of the Service infringes another party’s intellectual property rights.

You agree to comply with any applicable third-party terms when using the Service. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as permitted under applicable law.

By using the Service, you represent and warrant that:

  • You are not located in a country subject to a U.S. government embargo or designated as supporting terrorism
  • You are not listed on any U.S. government list of prohibited or restricted parties

Software Access Addendum

Description of the Software Access Feature

The Service may allow Sellers to provide software products (“Software”) to Buyers through the platform. Buyers may purchase a license to such Software from Sellers. This Software Access Addendum applies to these transactions.

Delivery

Once a Buyer purchases a subscription or license to a Seller’s Software, the Seller agrees to promptly provide access or copies of that Software to the Buyer.

Software License

Sellers agree to grant Buyers a license to use the purchased Software in accordance with the Seller’s applicable end-user license agreement (EULA) or licensing terms.

Software Terms

Sellers may require Buyers to accept additional terms governing the use of their Software (“Software Terms”). If such terms apply, Buyers who access the Software agree to comply with those Software Terms.

Software Rental Addendum

Description of the Software Rental Feature

The Service may allow certain users who have purchased access to Software to make that Software temporarily available to other users (“Renters”) for a limited time period (the “Rental Period”). This Software Rental Addendum applies to these transactions and incorporates the Software Access Addendum by reference.

For the purposes of this feature, a user who provides Software for rental will be considered the licensor of that Software during the Rental Period.

Delivery

At the start of the Rental Period, Newrich may facilitate delivery or access to the Software for the Renter. Users who offer Software for rental authorize Newrich to assist with this delivery process.

Software License During Rental

Users who make Software available for rental agree to grant the Renter a limited license to use the Software under their applicable licensing terms for the duration of the Rental Period.

Software Terms

Renters agree to comply with any applicable Software Terms governing the use of the rented Software.
