Seller Terms
These Seller Terms apply whenever you use our Service to sell Products to Buyers on Newrich, and they are a part of our Terms of Service (including the Terms' arbitration agreement and class action waiver).
Sellers are responsible for reviewing and complying with these Seller Terms, as well as any applicable local laws and regulations. Failure to follow these Terms may result in limitations placed on your account, including suspension or termination, at the sole discretion of Newrich and our Financial Partners.
1. Identity Verification and Compliance.
As described in detail in Section 2 of the Terms of Service, our Financial Partners and applicable laws require that we verify your identity during onboarding and while you maintain an active Newrich account. Approval may be withdrawn at any time. We are not responsible for any losses, claims, or damages that result from your inability to access funds due to failure to comply with these Terms or applicable KYC requirements.
2. Your Responsibilities.
As a Seller, you are fully responsible for the operation of your business. While we provide the platform and supporting tools, you remain entirely accountable for your business activities, the Products you offer, and all transactions with your customers. Your responsibilities include, but are not limited to, the following:
Your Business: Managing and operating your business wherever you utilize Newrich Services, including your storefront, embedded checkout pages, and integrations with social media platforms. This also includes all content you create (including content generated using Newrich tools) and all Products you make available for sale.
Your Products: Making sure that any Products you offer comply with our Prohibited Products and Services Policy, all applicable laws, and any regulatory obligations in the regions where you operate or where your Products are sold.
Pricing: Determining the prices for your Products at your own discretion, provided those prices comply with applicable laws. You are responsible for ensuring that all pricing information remains accurate and up to date, and you must honor the price displayed at the time a Product is purchased.
Customer Transactions: You are responsible for the following in connection with any Products sold through the Services:
- Product Delivery: Fulfilling and delivering any Products you sell using the Services.
- Customer Support: Providing assistance and support to customers regarding their purchases and any questions or issues related to your Products.
- Refunds, Disputes, and Chargebacks: Accepting full financial responsibility for any refunds, payment disputes, or chargebacks associated with your Products. Any approved refunds will be deducted from your account balance. We do not guarantee transactions and are not responsible for losses resulting from disputes or chargebacks.
Violations: You are responsible for complying with these Terms and all applicable laws. Any suspected or confirmed violations may result in enforcement actions.
Prohibited Billing Practices. You may not engage in the following practices:
- Retrying failed American Express authorization attempts more than three times within a 24-hour period.
- Attempting to reduce dispute rates by processing small or nominal charges that do not reflect the true value of the Product being sold.
- Using transaction splitting, micro-billing, or other similar practices designed to bypass fraud monitoring systems or payment network thresholds.
Violations of these requirements may result in immediate suspension or termination of your account, withholding of payouts, and reporting to our Financial Partners or applicable regulatory authorities.
3. Fees and Balance
Fees. You are responsible for paying any fees associated with your use of the Services. The types and amounts of applicable fees are described in our pricing documentation (https://docs.newrich.com/fees), which may be updated or modified from time to time with prior notice.
How Fees Are Deducted. When a Product is purchased, you will receive the net sale amount in your designated base currency after deductions are made for: (i) payment processing fees, (ii) any applicable taxes, and (iii) our service fee, as outlined on our pricing page.
Promotional Offers. Promotional pricing, discounts, or special offers made available to other users do not apply to your account unless we expressly confirm their applicability to you in writing.
Newrich Balance. Your Newrich Balance reflects funds held on your behalf by our Financial Partners. Additional details regarding your balance are described in our Terms of Service.
On-Time Payment
The Seller authorizes Newrich to charge the Seller’s designated payment method (as provided during registration or later updated) in advance for the amount of the Seller’s recurring subscription fees, including any services the Seller has enrolled in (collectively, the “Subscription Fees”), for each billing period associated with the Seller’s selected subscription plan.
The Seller further authorizes Newrich to modify the Subscription Fees applicable to the Seller’s subscription plan upon thirty (30) days’ prior notice, which may be delivered to the email address associated with the Seller’s account.
Subscription Fees are non-refundable once paid and will accrue at the beginning of each billing period or renewal term until the subscription is cancelled, regardless of whether the Seller actively uses the Site or Services during that period.
Certain features or services available on newrich.com, whether provided by Newrich or by third-party service providers, may require additional fees or charges that are not included in the Seller’s subscription.
The Seller agrees to pay all applicable charges when due and to provide any required payment authorization requested by Newrich. If the Seller fails to pay all amounts owed in full and on time, Newrich may suspend, restrict, or terminate the Seller’s subscription or account access.
If the Seller’s payment method expires, is declined, or otherwise fails to process, access to the Services and the Site may be modified, suspended, or cancelled at Newrich’s sole discretion and without prior notice. All fees are quoted and payable in United States Dollars.
The Seller is also responsible for paying all applicable taxes, as well as any additional costs associated with the use of or access to the Site, Services, or Content.
Payment Methods
When providing personal information necessary to process payment for a Newrich subscription, the Seller agrees to the terms outlined in the Privacy Policy.
Newrich may utilize third-party payment processors to facilitate payment transactions. When payments are processed through such providers, their respective terms and conditions will apply. Sellers are encouraged to review the applicable third-party terms before completing a payment transaction.
Subscription Term; Auto-Renewal
Subscriptions are generally billed on a monthly or annual basis, although additional billing arrangements or service plans may be offered at Newrich’s discretion.
Subscription Fees begin accruing on the date the Seller’s paid subscription becomes active. From time to time, Newrich may offer alternative subscription plans or promotional pricing on newrich.com, and the fees for those plans may vary.
The Seller’s access to the Site, Services, and Content is contingent upon continued compliance with these Terms and the timely payment of all applicable subscription or service fees.
A Seller’s subscription will remain active for the initial subscription term selected during registration (for example, monthly or annually). After the initial term expires, the subscription will automatically renew for successive terms of the same duration unless cancelled by either the Seller or Newrich in accordance with these Terms.
Cancellation
Either Newrich or the Seller may cancel the Seller’s subscription at any time and for any reason, unless otherwise specified in a promotional offer or separate agreement.
If a subscription is cancelled by either party, all fees owed to Newrich through the end of the current billing cycle remain payable.
Unless otherwise stated in an applicable promotional offer, no refunds will be issued for partial billing periods.
Following cancellation, the Seller will retain access to Newrich until the end of the current billing period. After that period ends:
- The Seller’s content profile and any published content including digital content, groups, or listings on our marketplace will be archived
- Existing content will remain accessible in read-only format
- No additional content may be created or added.
4. Chargebacks, Disputes, and Enforcement
Your Responsibilities
What You Are Responsible For. You are fully responsible for any chargebacks, payment disputes, returns, or refunds related to the Products you sell. Valid refund or chargeback claims must be refunded in full, including any associated fees. You are also responsible for reimbursing us for any related costs, including chargeback fees, investigation expenses, and any penalties imposed by payment networks.
Your Dispute Rate. You are required to maintain a dispute rate below 2%. Your dispute rate is calculated by dividing the total number of dispute cases by the total number of transactions processed during a rolling 90-day period.
Reserves and Fund Holds
When Funds May Be Held. We, or our Financial Partners, may place a reserve on your account (including holding up to 100% of available funds), delay payouts, or suspend or terminate your account if certain risk factors are present, including but not limited to:
- A new account with limited or no transaction history
- Elevated dispute, chargeback, refund, or return rates
- Products that fall into higher-risk categories, including pre-orders or items with extended fulfillment timelines
- Unusual transaction patterns or significant changes in transaction volume
- Signs of fraud, policy violations, or other compliance concerns
- Incomplete identity verification or missing required documentation
How Reserves Are Used. By using the Services, you authorize us to direct our Financial Partners to hold, withdraw, or debit funds from your account or any linked bank account in order to cover refunds, disputes, penalties, or fees arising under these Terms or applicable payment network rules. Funds may be placed in reserve for a commercially reasonable period to protect against potential disputes, but in no event longer than 180 days. We are not required to release any reserved funds until we reasonably determine that the related risks have been resolved or sufficiently reduced. Your use of the Services constitutes authorization for us to take these actions at our sole discretion.
Requests for Information. If your account is placed under reserve or suspended, we may ask you to provide additional information or documentation to review your business activity or address outstanding disputes. Failure to provide requested information or cooperate with such requests may result in the reserve remaining in place, continued suspension, or termination of your account.
Continuing Liability. If the funds held in reserve or recovered through clawbacks are not sufficient to cover chargebacks, refunds, fees, or other obligations, you remain responsible for the remaining balance. You also remain liable for any payment network fines, penalties, fees, or other assessments associated with your account.
Negative Balances and Repayment
When You Owe Funds. If the total amount of chargebacks, refunds, or other payment obligations exceeds the balance available in your account, your account will show a negative balance. You are required to promptly repay any negative balance owed to us.
How Repayment Is Collected. We may recover negative balances by deducting amounts from future payouts, requiring you to add funds to your account, or charging a linked bank account or payment method associated with your account. Any outstanding negative balance will accrue interest at a rate of 1.5% per month (or the highest rate permitted by applicable law) until the balance is fully repaid. Your obligation to repay negative balances continues even if your account is suspended or terminated.
Collection Rights. If you fail to repay amounts owed to us—including fees, chargebacks, refunds, penalties, or other outstanding obligations—we reserve the right to pursue recovery through any lawful means. These actions may include:
- Using third-party collection agencies
- Initiating legal proceedings
- Withholding or offsetting future payouts
- Seeking repayment from affiliated entities or individuals involved in operating your account
You agree to reimburse us for any reasonable costs incurred in collecting outstanding amounts, including attorneys’ fees, court costs, and collection agency fees.
Appeals and Additional Rights
Appeals. If you believe that a reserve, suspension, or other action taken under this section was applied incorrectly, you may contact support@newrich.com to request a review. Any review will be conducted at our sole discretion. We also reserve the right to limit the information we disclose regarding the outcome or details of our review process.
Rights Reserved. Nothing in this section restricts or limits our rights under any other part of these Terms, including our ability to take action if we suspect fraud, money laundering, unlawful activity, or any other violation of these Terms or applicable laws.
5. Taxes
The Seller is responsible for all tax obligations related to their use of the Services and the sale of their Products. This includes responsibility for:
(a) Determining whether any taxes, duties, or fees apply to the sale of their Products or services, or to any payments made or received in connection with the use of the Services; and
(b) Calculating, collecting, reporting, and remitting any applicable taxes related to Products sold by the Seller.
These obligations include, but are not limited to, sales tax, VAT, income tax, and any other applicable statutory taxes.
Where required by law, Newrich may collect, withhold, or remit certain taxes on the Seller’s behalf to the appropriate tax authorities. However, the Seller remains ultimately responsible for ensuring that all required taxes are properly calculated, reported, and paid to the appropriate authorities, including situations where Newrich does not collect or remit taxes on the Seller’s behalf.
6. Account Suspension and Termination
In addition to the suspension and termination provisions outlined in these Terms and our Terms of Service, the following conditions also apply:
Our Right to Suspend or Terminate
We reserve the right to suspend or terminate your account at any time and for any reason, at our sole discretion. When possible and legally permitted, we will provide advance notice. However, we may immediately suspend or terminate your account without prior notice if you violate these Terms, if we reasonably suspect fraudulent or unauthorized activity, or if action is required for legal, regulatory, or reputational reasons.
Actions by Financial Partners
Suspension Authority. Our Financial Partners may suspend your account or place holds on funds at their discretion, including when required by law enforcement or regulatory authorities, or when directed by their banking or payment processing partners.
Regulatory Reviews. Financial Partners may also temporarily suspend or restrict account activity while conducting regulatory or compliance reviews requested by us, the Financial Partner, or their affiliated partners.
Effect on Funds. If your account is suspended or placed on hold, the settlement or payout of funds owed to you may be delayed until the matter is resolved.
7. Regulatory Matters
Not a Financial Institution. Newrich operates as a technology platform and is not a bank or financial institution. We do not offer banking services or financial products. All payment-related services are provided by our Financial Partners, which may include third-party payment processors and their affiliated banking institutions. These Financial Partners hold and manage funds in accounts for the benefit of our customers.
Payment Processing. All payments made through the Services are processed and settled by our Financial Partners. Our role is limited to providing the platform interface through which transactions are initiated.
Agent of the Payee. Each Seller designates Newrich as its agent solely for the purpose of receiving, holding, and facilitating the settlement of payments from Buyers. When payment is made through our Financial Partners, receipt of those funds satisfies the Buyer’s payment obligation to the Seller. Sellers will receive the applicable payments, less any fees or amounts owed to us and subject to these Terms. Sellers acknowledge that payments made by Buyers to our Financial Partners are valid and binding and are considered payment to the Seller. Delivery of funds to our Financial Partners constitutes full satisfaction of the Buyer’s payment obligation to both Newrich and the Seller.
Compliance Responsibility. We structure our payment-related services with the intent of complying with applicable financial regulations. However, regulatory interpretations and requirements vary by jurisdiction. You are solely responsible for understanding and complying with all laws that apply to your business activities, including tax, financial, and consumer protection laws. Nothing in these Terms should be interpreted as guaranteeing any specific regulatory status, licensing exemption, or legal classification for your use of the Services.
Service Disclaimers. The Services are provided on an “as is” and “as available” basis. We do not guarantee any particular regulatory outcome, compliance status, or financial licensing determination. We are not responsible for how you use the Services, your failure to meet the requirements of our Financial Partners, or any violation of applicable laws arising from your activities.
